LEGAL / TERMS
Terms for the Website and Services
Last updated: 4 September 20261. Operator, Client and application
This website is operated by AeroMetrix LTD (“AeroMetrix”). The “Client” is the natural or legal person that accepts a written quotation, confirms an order or enters into a service agreement with AeroMetrix. AeroMetrix and the Client are each a “Party” and together the “Parties”.
These Terms govern use of the website and the provision of services. The service provisions form part of a specific engagement only where the Terms have been supplied to the Client before commissioning and expressly accepted, including by reference in an accepted written quotation, order confirmation or agreement. Merely browsing the website, using the cost estimator or sending an enquiry does not create a service contract.
2. Purpose of this website
The website presents AeroMetrix services in aerial surveying, photogrammetry, 3D modelling, volume calculation, visual and thermographic inspections, and geospatial data processing. Its content is general information and does not constitute a binding offer, professional opinion or warranty of suitability for a particular site.
3. Enquiries, quotations and contracts
Using the cost estimator, sending an email or speaking with AeroMetrix does not automatically create a contract. Work begins only after the scope, method, location, coordinate system, required accuracy, deliverables, programme, price and payment terms have been agreed in writing.
A quotation remains valid for the period stated in it. Acceptance with additions or changes is a new proposal and binds AeroMetrix only after express written confirmation. In case of conflict, the following order applies: signed contract, accepted quotation and its appendices, these terms, website information.
A person accepting on behalf of an organisation represents that they have authority to do so. Project correspondence from an address designated by the Client may be relied upon for instructions, variation approval and acceptance unless a stricter form has been agreed.
4. Indicative prices and payment
Amounts shown by the estimator are indicative and expressed in euros. The final price, applicable tax treatment, payment currency, deposit and due date are stated in the written quotation. Tax treatment for a cross-border service is confirmed for the specific Client and transaction.
The indicative amount covers the technical-service configuration selected in the estimator. Mobilisation and travel, additional permissions, third-party specialist services, fees, accommodation or terrestrial measurements are not part of that amount and are included only when expressly stated in the written quotation.
AeroMetrix may require a deposit and may start or continue work after cleared payment. Overdue amounts bear statutory interest and reasonable recovery costs. AeroMetrix may suspend work and delivery until payment, and deadlines extend by the delay and reasonable remobilisation time. Bank and currency costs are borne by the payer unless agreed otherwise.
5. Conditions of performance
For a specific engagement, the Client provides accurate information about the site, access, ownership or authority to commission the work, known hazards and site rules. The Client arranges the agreed access and coordination with responsible persons.
Flights and fieldwork depend on airspace, permissions, safety, weather, wind, visibility, solar loading, vegetation, traffic and the operating state of the asset. Where conditions are unsuitable, AeroMetrix may propose a new date or a revised method.
AeroMetrix plans the service on the basis of documents, coordinates, boundaries, control points, design data and instructions supplied by the Client. By accepting the engagement, the Client confirms that information it supplies is accurate to the best of its knowledge and that it has the necessary rights and lawful basis to supply the materials and commission the relevant access, capture or processing. AeroMetrix may request evidence, or refuse or temporarily suspend performance, where there are reasonable grounds to suspect a breach of law or third-party rights. AeroMetrix remains responsible for legal duties imposed personally on it as contractor or operator, including its own assessment of whether the work can be carried out lawfully and safely.
Where, for a reason within the Client's control, agreed access is unavailable, the site is unprepared, required information is incomplete or a known hazard was not disclosed in advance, AeroMetrix may stop the visit and reschedule it. Following notice where reasonably possible, AeroMetrix may charge for work performed, travel and only direct, reasonable and documented additional costs caused by the Client's culpable non-performance. AeroMetrix may refuse any unlawful, unsafe, technically unsound or out-of-scope instruction.
6. Variations, postponement and termination
A change in area, scope, accuracy, coordinate system, format, number of visits, timing or site conditions may change the price and programme. Additional work requires written confirmation unless an immediate measure is necessary for safety or preservation of data already collected.
The Client may terminate in writing and must pay for work performed, irreversible commitments and third-party services already engaged. AeroMetrix may suspend or terminate for material breach, overdue payment, lack of cooperation, risk to people or property, or reasonable concern that the intended purpose is unlawful.
7. Accuracy, limitations and professional responsibility
Expected accuracy and control methods are defined for each project. Any quality level not expressly agreed is not included. Deliverables are not an official cadastral service, geological opinion, structural assessment, energy audit or reserves certification unless expressly commissioned and undertaken with the relevant appropriately qualified professional.
Photogrammetry may be limited by dense vegetation, uniform or reflective surfaces, occlusions and insufficient control. Supplementary terrestrial measurements or another method may be proposed where required.
8. Thermographic services
Thermography records surface temperature differences and is used for screening and targeted follow-up inspection. It does not by itself prove moisture ingress, leakage, an electrical or structural defect, nor does it automatically determine the cause of an anomaly. Reliability depends on weather, temperature difference, material and the operating state of the asset.
Presentation of thermography on this website does not automatically confirm that a particular site can be surveyed on any date or under any conditions. The written quotation defines the execution method, equipment, required competence and any involvement of an external specialist. Where an official assessment, expert conclusion or regulated professional competence is required, that part is carried out and signed by an appropriately authorised professional.
9. Delivery, review and acceptance
File formats, content and delivery method are defined in the quotation. Raw data, intermediate files, calibration materials and working projects are supplied only where expressly included. Compatibility with unspecified software, versions or workflows is not warranted.
Unless the quotation states otherwise, the Client must inspect the deliverables and describe any apparent non-conformity within five business days. Without notice, the deliverables are accepted as regards apparent non-conformities, without affecting rights that cannot lawfully be restricted. For a valid complaint, AeroMetrix may first correct or reproduce the affected part within a reasonable period. This is the primary remedy before a claim for price reduction or damages.
AeroMetrix may delete raw and intermediate data 90 days after final delivery unless archiving is agreed. The Client must promptly download, verify and retain the final files.
10. Intellectual property and permitted use
Until full payment, deliverables may be used only for internal review. After payment, the Client receives a non-exclusive right to use the agreed final deliverables solely for the agreed project purpose and to share them with intended project participants. Adaptation, resale, model training, use as a standalone product or use for another site requires written consent unless applicable law permits otherwise.
AeroMetrix methodologies, templates, scripts, software processes, libraries, styles, know-how, tools and general improvements remain AeroMetrix property. Client materials remain the Client's, and the Client grants the rights required to process them for the assignment.
11. Confidentiality, subcontractors and portfolio
Project data is treated as confidential in accordance with the agreement and applicable law. AeroMetrix publishes Client imagery, models, results or project descriptions in its portfolio only with permission or after sufficient anonymisation so that the Client and protected information are not disclosed.
AeroMetrix may engage reliable subcontractors and specialists for parts of the work, remains responsible to the Client for their commissioned work within the applicable scope, and requires confidentiality. Any requirement for prior approval of a named subcontractor must be stated in the quotation.
12. Liability
AeroMetrix exercises reasonable professional care. It is not liable for loss to the extent directly caused by use outside the agreed purpose; inaccurate, incomplete or late inputs; changes to the site after capture; concealed or inaccessible elements; third-party acts; or events outside its reasonable control.
For clients who are not consumers, AeroMetrix is not liable for indirect loss, loss of profit, business interruption, loss of contract or loss of data, and aggregate liability for an assignment is limited to the fee paid for the affected service. This limit does not apply to wilful misconduct or gross negligence, death or personal injury caused by an act or omission of AeroMetrix, and does not exclude any other liability that cannot lawfully be excluded or limited. Where the Client is a consumer, all mandatory statutory rights remain unaffected.
Each Party is liable under applicable law for loss caused by its own culpable acts or omissions. If a third party makes a claim, the Parties will provide reasonable cooperation and the consequences will be borne by the Party whose act or omission caused the claim, in accordance with the law and the specific agreement. Nothing in these Terms makes the Client responsible for any act or omission of AeroMetrix.
External links are provided for convenience. AeroMetrix does not control the content or policies of third-party websites.
13. Consumers and withdrawal rights
If the Client is a consumer and the contract is concluded at a distance or off premises, the statutory 14-day withdrawal right applies unless a legal exception applies. An unambiguous written statement sent to AeroMetrix is sufficient.
If the consumer expressly asks for performance to begin during the withdrawal period, a later withdrawal requires payment proportionate to the service performed before notice. The right is lost after complete performance only under the conditions prescribed by law and after the required express request and acknowledgement. Mandatory consumer conformity and other statutory rights remain unaffected.
A consumer complaint may be sent to AeroMetrix. If unresolved, the consumer may contact the Bulgarian Consumer Protection Commission and the competent general conciliation commission.
14. Force majeure for commissioned services, governing law and amendments
For a specific engagement, neither Party is liable for delay or non-performance to the extent directly caused by force majeure under applicable law: an unforeseeable or unavoidable extraordinary event arising after acceptance of the engagement and beyond the affected Party's reasonable control, provided that Party was not already in delay. Flight restrictions, an act of a competent authority, natural disaster, exceptional weather, disruption of critical infrastructure or objective inaccessibility of the site have this effect only where, in the circumstances, those conditions are met and performance is objectively prevented. A lack of funds or personnel and ordinary seasonal weather are not in themselves force majeure.
The affected Party must notify the other in writing without undue delay of the event, its expected duration and its effect on performance, provide reasonably available evidence on request and take reasonable steps to mitigate the effects. Affected obligations and directly related reciprocal obligations are suspended for the duration of the impediment, and the Parties will agree a revised programme.
If the impediment continues for more than 30 calendar days, performance becomes objectively impossible or the delay permanently defeats the purpose of the service, either Party may terminate the unperformed part in writing without penalty. The Client pays for work properly completed up to that point and only pre-approved, reasonable and documented non-refundable costs. Any part of an advance payment that does not correspond to an amount due will be refunded.
Adverse weather or temporary airspace restrictions that do not constitute force majeure but make the work unlawful, unsafe or technically unreliable entitle AeroMetrix to postpone it after timely notice and a proposal for a new reasonable date. Such postponement is not a breach.
Bulgarian law applies. Disputes will first be addressed through good-faith negotiation and, if unresolved, by the competent Bulgarian court unless mandatory law provides otherwise.
The English version is provided for convenience. If the versions differ, the Bulgarian version prevails. These terms may be updated; the version published when the website is used applies unless a contract states otherwise.
